Terms of use

These Terms of Use ("Terms") govern your access to and use of theoratix.ai and its pages, features and content (the "Site"), operated by Theoratix Inc. ("Theoratix", "we", "us"), 2021 Fillmore St, San Francisco, CA 94115, United States. By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

Our products, enterprise services and any API are provided under separate written agreements. Where such an agreement applies, it governs that product or service, and these Terms govern only your use of the Site.

Who may use the Site

You must be at least 13 years old to use the Site. If you are under 18, or under the age of majority where you live, you may use the Site only with the permission of a parent or guardian. If you use the Site on behalf of an organization, you confirm that you are authorized to accept these Terms for it.

Using the Site

We give you a personal, non-exclusive, revocable permission to view and use the Site for your own information or your organization's internal purposes. You may link to and share pages from the Site.

What you may not do

• Break any law, or help anyone else to.
• Access, probe or test parts of the Site or our systems that are not public, except as allowed by our responsible disclosure policy.
• Interfere with the Site, for example by overloading it, sending automated requests at a volume a person could not, or getting around rate limits or security measures.
• Scrape or copy the Site's content at scale, or use it to build datasets or train models, without our written permission.
• Upload or send malicious code, or content that infringes someone else's rights.
• Impersonate any person or organization, or misrepresent your connection with us.
• Use the Site's assistant or demos in a way our acceptable use policy does not allow.

AI features

The Site includes an assistant ("Ask Theoratix") and demonstrations of Lemma, our reasoning engine. Their answers are generated automatically and can be wrong, incomplete or out of date, even when they are shown with a confidence score or a reasoning trace. Some traces on the Site are recorded examples and are labeled as such.

Answers from the Site are not professional advice of any kind (including legal, medical, financial or engineering advice). Check anything important before you rely on it, and do not enter sensitive personal information.

What you send us

When you send us a message, a question or feedback through the Site or by email, you keep any rights you have in it. You allow us to use it to reply to you, to run and improve the Site, and as our privacy policy describes. If you send us ideas or feedback, we may use them without owing you anything.

Please do not send confidential information through the Site. Sending us information through the Site does not create a confidentiality obligation; if you need one, ask us for a written agreement first.

Our content

The Site and its content, including text, graphics, code, designs, and the Theoratix, Lemma and Conjecture names and logos, belong to Theoratix Inc. or its licensors. Apart from the permission above, these Terms do not give you any rights in them.

Other websites

The Site may link to websites and services we do not run. We are not responsible for their content or practices, and their own terms apply.

Changes to the Site

We may change, suspend or stop any part of the Site at any time. We do not promise that the Site will always be available or free of errors.

Disclaimer

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT CONTENT OR ANSWERS ON THE SITE ARE ACCURATE OR COMPLETE.

Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, THEORATIX INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATING TO THE SITE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE IS LIMITED TO ONE HUNDRED US DOLLARS (US$100).

Some places do not allow these exclusions or limits, so they may not all apply to you. Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

If you use the Site in breach of these Terms or the law, you agree to cover Theoratix Inc.'s reasonable losses and costs (including legal fees) from any resulting third-party claim.

Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. If a dispute arises, please email contact@theoratix.ai first so we can try to resolve it informally within 30 days. Otherwise, the state and federal courts located in San Francisco County, California, have exclusive jurisdiction, and you and we consent to them.

If you are a consumer living in the European Union or the United Kingdom, you also keep the protection of the mandatory laws of your country, and you may bring proceedings in your local courts.

Ending access

We may suspend or end your access to the Site if you break these Terms. The sections on what you send us, our content, the disclaimer, limitation of liability, indemnity and governing law continue after that.

General

These Terms are the whole agreement between you and us about the Site. If a court finds part of them unenforceable, the rest stays in effect. If we do not enforce a right, we have not given it up. You may not transfer your rights under these Terms; we may transfer ours as part of a reorganisation, merger or sale.

Changes to these Terms

We may update these Terms. The date at the top shows when the current version took effect. If a change is significant, we will say so on the Site before it takes effect. Using the Site after that means you accept the updated Terms.
